                 THE PROPOSAL OF  COOPORATION

   For insure the corporation run well,guarantee the profit of both parts.on the premise of eaqual,benifit for each other,cooporation,both win,i present my proposal:

1 investment

(1) GLOBAL AFINITY(below  call part A) invest 240,000rmb,include raw material and accesory which need by the order.

(2)I(below call part B)invest 300,000rmb,include equipment (which produce:A4 229*324mm middle peel and seal envelope ;      A5162*229mm middle peel and seal envelope，)package and rent of the house，the wage of workers and manager。

2 the procedures

（1）part B will buy the machine and the tool which produce envelop,and pay for electricity,water and house.

(2)part A provide order which may meet 50% capacity of the machine---the machine will run for 12h/day.the order is two 20gp  every month:A4 envelopes 229*324mm 1100,000pics; A5 envelopes 162*229mm 600,000pics.

(3)part B should help part A to purchase the raw material and supplementary material which need by the order,include paper,carton,opp,glue,peel and seal,mark, part A  pay it.

3 division of work

(1)the raw material and supplenentary material which need by the order should  be find and purchase  by both parts.

(2)part B resposible for the producing of the order until the product in warehouse.

(3)part A resposible for the transport and sell of the product.

4 the process of cooporation

(1)both parts sign a contract which confirm the rights and  obligations ,the cooporation period of both part,the direction of the cooporation and the rules;build the cooporation relationship of both parts.

(2)when contract entry into force,both parts should prepare for produce according to resposiblity.

a   when contract entry into force，part B begin to purchase the equipment which need by produce and accesory which need by daily life，rent the factory place，employ worker and manager。part B should finish the prepare work in 35 days。

b    when contract entry into force，part A should give enough orders to keep part B’s  equipments，place and workers in running。part A and part B should purchase the raw material and accesory for the first order together。when the machine of part B already prepare，in three days，the raw material and accesory should be prepared。

c   the raw paper of the next order should be prepared three days before the first order finish；then in the next three days the accesory should be prepared 。

(3) the quality check of the raw material and accesory should take by both parts，part B resposible for the process of produce ，part A resposible for the product quality。

(4)   part A give the order to part B,the order should include specification,quatity,package,quality,dilivery time and the standard of product;the fee of processing and the profit of part B should be confirmed.the order should be process order.

(5) part B finish the order offer by part A in time ,guarantee the quality and quatity.

(6) part A paid the process fee and the profit to part B one time on the dilivery day.the first order finished,settle an example,the next order follow.

5 the producing costs and profit of part B

  the producing costs of part B include:the house rent,water electricity of producing and living,depreciation of equipment and other cost of producing procedures(cut raw paper,printing,模切，count,transport).

the cost of A4 envelope is 0.038rmb/piece,

the cost of A5 envelope is 0.035rmb/piece.

part A should paid part B 0.015rmb/piece as the profit.

 part B paid transport fee(man and material),comunicate fee,the cost of material when part B look for,purchase,transport the material and accesory,part A should pay all these fee according to receipt and invoice provide by part B.

6 default resposibility

(1) if part B cannot finish the order in time,bring loss to part A(for example:book the department in ship and cancell it,additional inland charge),part B should resposible for it,the loss should deducing from the money which part A pay to part B.

(2)if part A no order offer to part B,part A should pay the loss of profit and the loss of the machine producing capacity to part B in the end of the month.

(3)the share of the loss and the dilivery late cause by god will,part A and part B should negotiate friendly.

(4)at the first adjust period----45days,the loss and the late cause by equipment should afford by both parts.

   if the loss and the late cause by raw material and accesory.part A should afford the loss .

7 special rule

for the investment of part A and part B is different,part B cannot take all the money back in one year.the house rend and the depreciation of the equipment amount to 150,000rmb one year.if the cooporation period less one year,part B will have heave loss.further more,the investment of part B is fixed assets,cannot return to money again.the investment of part A is money.so part A should give 80,000rmb to part B as deposit.the deposit will return to part A in the last 8 orders.

8 after fullfill the contract,part A have no right about the equipment provide by part B.

  if both parts want to extension the contract,the reqirement is same.

9 if the cooporation go smoothly,both parts may negotiate with expand the factory.

  above is the proposal according reality,if global afinity have different idea,please tell me.i hope we may get consecus.

 i truely believe on the basis of both parts's hard work,according to the principle of equal,benifit to each other,cooporation,both win,in the atmosphere of  justice,reasonable,friendly,openly,the cooporation of both part will go smoothly.the profit of the cooporation will as the apple on the autumn apple tree.hold now,look into the future.we will have a promising future.
